Specific terms for Consulting Services will be governed by separate service agreements, statements of work, or consulting contracts executed between you and Nivanix. In the event of any conflict between these Terms and a separate consulting agreement, the consulting agreement shall take precedence with respect to the specific services provided.
When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account. You agree not to disclose your password to any third party.
The Service and its original content, features, and functionality are and will remain the exclusive property of Nivanix and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Any methodologies, processes, frameworks, or deliverables developed specifically for a client during the course of providing Consulting Services shall be governed by the terms of the applicable consulting agreement.
We understand that in the course of providing Consulting Services, we may have access to confidential and proprietary information. We maintain strict confidentiality standards and will not disclose any confidential information without proper authorization. Specific confidentiality terms will be detailed in separate non-disclosure agreements or consulting contracts.
Our Service may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.
By posting Content to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service.

You agree to defend, indemnify, and hold harmless Nivanix and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.
As a consulting company, we adhere to professional standards of conduct and ethics. We maintain appropriate professional certifications and continue our professional development to provide quality services to our clients.
Our Service may contain links to third-party web sites or services that are not owned or controlled by Nivanix. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
